Terms of Service

These Terms of Service ("Terms") govern your access to and use of the CrewStat ERP platform, including the web application, mobile application, and related services (collectively, the "Service") provided by CrewStat ("we", "our", or "us").
By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
1. Definitions
- "Customer" means the organization that subscribes to the Service and enters into a service agreement with CrewStat.
- "Authorized User" means an individual granted access to the Service by the Customer, including employees and administrators.
- "Service Data" means all data submitted, stored, or processed through the Service by or on behalf of the Customer.
2. Account Registration and Access
To use the Service, a Customer must create an account and provide accurate, complete registration information. The Customer is responsible for:
- Maintaining the confidentiality of login credentials
- Managing Authorized User access and permissions
- All activities that occur under the Customer's account
- Ensuring Authorized Users comply with these Terms
Authorized Users receive access through their employer (the Customer). The Customer's administrator controls user provisioning and access levels.
3. Use of the Service
3.1 Permitted Use
The Service is licensed for the Customer's internal business operations, including project management, human resources, payroll, CRM, and related business functions. Use is limited to the scope of the Customer's subscription plan.
3.2 Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to the Service, other accounts, or related systems
- Interfere with or disrupt the integrity or performance of the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to transmit malicious code, viruses, or harmful content
- Resell, sublicense, or redistribute the Service without prior written consent
- Use the Service in any manner that could damage, disable, or impair the Service
- Scrape, harvest, or collect data from the Service through automated means
4. Service Data and Ownership
4.1 Customer Data Ownership
The Customer retains all rights, title, and interest in their Service Data. CrewStat does not claim ownership of any Service Data. We process Service Data solely to provide and improve the Service in accordance with the Customer's instructions.
4.2 Data Processing
CrewStat processes Service Data as a Data Processor on behalf of the Customer (Data Controller). Our data handling practices are described in our Privacy Policy.
4.3 Data Portability
Customers may export their Service Data at any time through the platform's export functionality or by contacting our support team.
5. Intellectual Property
5.1 CrewStat Property
The Service, including its design, features, functionality, software, documentation, and all related intellectual property, is and remains the property of CrewStat. These Terms do not grant you any rights to our trademarks, logos, or branding.
5.2 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant CrewStat a non-exclusive, royalty-free, worldwide license to use, modify, and incorporate such feedback into the Service.
6. Subscription and Payment
- Subscription plans, pricing, and features are as specified in the Customer's service agreement or order form.
- Fees are billed in advance on a recurring basis (monthly or annually as selected).
- All fees are non-refundable unless otherwise stated in the service agreement.
- We reserve the right to modify pricing with at least 30 days' written notice before the next billing cycle.
7. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled maintenance (with advance notice when possible)
- Emergency maintenance to address security or stability issues
- Circumstances beyond our reasonable control (force majeure)
8. Suspension and Termination
8.1 By the Customer
The Customer may terminate their subscription at any time by providing written notice. Upon termination:
- Access to the Service will end at the conclusion of the current billing period
- Service Data will be available for export for 30 days after termination
- Service Data will be permanently deleted within 90 days after termination
8.2 By CrewStat
We may suspend or terminate access to the Service if:
- The Customer breaches these Terms and fails to cure the breach within 15 days of notice
- The Customer's account has unpaid fees overdue by more than 30 days
- Continued use poses a security risk to the Service or other users
- Required by law or regulatory authority
8.3 Effect of Termination
Upon termination, all licenses granted under these Terms will immediately cease. Sections relating to data ownership, intellectual property, limitation of liability, and governing law will survive termination.
9. Warranty Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- CREWSTAT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
- CREWSTAT'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY THE CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
The Customer agrees to indemnify and hold CrewStat harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- The Customer's breach of these Terms
- The Customer's violation of applicable laws, including data protection and labor laws
- Any claim by an Authorized User or third party related to Service Data
12. Modifications to the Service and Terms
We may modify the Service or these Terms at any time. For material changes to these Terms, we will provide at least 30 days' notice via email or through the Service. Continued use of the Service after the effective date of changes constitutes acceptance.
13. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in India.
14. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy and any applicable service agreement, constitute the entire agreement between you and CrewStat.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
- Assignment: The Customer may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger or acquisition.
